TERMS & CONDITIONS

These Terms & Conditions (“Terms”) govern your use of the Cheers Wine & Liquor website, online ordering platform, mobile sites/apps, and related services (collectively, the “Sites”), and your purchase of products or services from Cheers.

The Sites are operated by Northstar Liquors, LLC d/b/a Cheers Wine & Liquor (“Cheers,” “we,” “us,” or “our”).

By accessing the Sites, creating an account, placing an order, or purchasing products, you (“you” or “your”) agree to these Terms, our Privacy Policy, Refund & Return Policy, Shipping Policy, and other policies referenced herein. If you do not agree, do not use the Sites or place an order.

1. ACCEPTANCE & CHANGES

These Terms apply to all users of the Sites and to purchases made through the Sites, including orders fulfilled by Cheers stores.

Cheers may modify these Terms at any time. Changes become effective when posted, unless otherwise required by law. Your continued use of the Sites after changes are posted constitutes acceptance of the revised Terms.

Cheers may restrict, suspend, or terminate access to the Sites or refuse service for violations of these Terms, applicable law, fraud, security concerns, or conduct that interferes with our business, employees, delivery providers, or customers.

2. AGE REQUIREMENTS

You must be 21 years of age or older to purchase, receive, pick up, or possess alcoholic beverages.

By ordering alcoholic beverages, you represent that:

* You are at least 21 years old;

* Your information is accurate; * You are legally permitted to purchase and possess the products ordered; * You will not provide alcoholic beverages to anyone under 21; and * You will provide valid government-issued identification when required.

Cheers may require age and identity verification for pickup, delivery, or shipping. If identification cannot be provided or does not satisfy applicable requirements, Cheers may refuse or cancel the transaction.

3. AGE-RESTRICTED PRODUCTS

Certain products may be age restricted. The recipient of an age-restricted order must satisfy all applicable age-verification requirements.

Cheers may refuse or cancel an order if the recipient is under 21, valid identification cannot be provided, the delivery is unlawful, the address is outside our service area, or fulfillment would otherwise violate applicable law.

4. NOT FOR RESALE

Products purchased through the Sites are intended for personal consumption or lawful personal use and not for resale unless expressly authorized by Cheers and permitted by law.

5. USE OF THE SITES

You agree to use the Sites lawfully and not to:

* Provide false or fraudulent information;

* Impersonate another person; * Use another person’s account without authorization; * Access systems or accounts without authorization; * Disrupt or damage the Sites; * Introduce malware or harmful code; * Circumvent security features; * Scrape, crawl, harvest, or collect Site data through unauthorized automated means; * Reverse engineer Site software; * Infringe intellectual property or privacy rights; * Engage in fraudulent, abusive, threatening, discriminatory, or unlawful activity; * Manipulate pricing, inventory, promotions, or Site functionality; * Use stolen or unauthorized payment methods; or * Assist others in violating these Terms.

You are responsible for activity conducted through your account and for protecting your login credentials.

6. ACCESSIBILITY

7. PRODUCTS, PRICING & AVAILABILITY

Product descriptions, images, prices, vintages, promotions, inventory, and other information are provided for convenience and may change without notice.

Availability, pricing, promotions, taxes, fees, and fulfillment options may vary by store, delivery address, order, and fulfillment method.

Cheers may correct errors, change inventory, limit quantities, substitute or remove unavailable products, reject orders, cancel orders, or refund amounts charged when appropriate.

Displaying a product does not guarantee availability.

8. ORDERS & ACCEPTANCE

Submitting an order constitutes an offer to purchase the products listed in the order. An order confirmation or acknowledgment does not necessarily constitute acceptance.

Cheers may accept, reject, modify, or cancel an order due to availability, pricing errors, payment authorization, fraud concerns, age verification, address or delivery restrictions, legal requirements, quantity limits, technical issues, or other operational reasons.

If an order is canceled after payment, Cheers will refund the applicable amount, subject to payment-provider processing times.

9. CANCELLATIONS & MODIFICATIONS

Cancellation or modification requests must generally be made before an order is prepared, dispatched, picked up, or assigned for delivery or shipping.

Once fulfillment has begun, cancellation or modification may not be possible.

If an order cannot be completed because of customer-related circumstances, including an incorrect address, failure to provide identification, refusal of delivery, or recipient unavailability, applicable delivery, redelivery, restocking, or other fees may apply where permitted.

10. IN-STORE PICKUP

Where available, online orders may be picked up at the selected Cheers location.

Pickup is subject to product availability and store hours. We may notify you when an order is ready.

For age-restricted products, the person picking up the order must satisfy applicable age-verification requirements and present valid government-issued identification when requested.

Cheers may refuse pickup when legal or identification requirements are not satisfied.

11. LOCAL DELIVERY

Cheers offers local delivery in certain areas. Availability, delivery timing, fees, and other charges depend on the delivery address, selected store, products, and other factors and are generally shown during checkout.

Delivery may be performed by Cheers or an authorized third-party provider.

For alcoholic beverages, the recipient must be at least 21 and may be required to present valid government-issued identification.

Delivery may be refused if the recipient is underage, unavailable, unable to provide required identification, provides an incorrect address, or if delivery would violate applicable law.

Cheers is not responsible for delays or failed deliveries caused by circumstances beyond its reasonable control.

12. SHIPPING

Where available and permitted by law, Cheers may ship eligible products to eligible destinations.

Shipping rates, availability, estimated delivery times, and restrictions may be displayed during checkout. You are responsible for providing an accurate shipping address and ensuring the destination is legally eligible to receive the products.

Age-restricted shipments may require valid identification at delivery. Failure to satisfy carrier or legal requirements may result in refusal or return of the shipment, and applicable charges may apply.

Cheers is not responsible for delays or failed deliveries caused by incorrect addresses, recipient unavailability, identification failures, carrier delays, weather, regulatory restrictions, or other circumstances beyond our reasonable control.

13. ALCOHOL TITLE & OWNERSHIP

Alcoholic beverage transactions are subject to applicable federal, state, and local laws.

Title and ownership of products will pass in accordance with applicable law and the transaction and fulfillment structure used by Cheers.

Nothing in these Terms authorizes a sale, delivery, shipment, or transportation prohibited by law. Cheers may cancel or refuse any transaction that cannot legally be completed.

14. TAXES & FEES

Applicable sales taxes, excise taxes, delivery fees, service fees, shipping charges, and other governmental or transaction-related charges may apply.

Taxes and fees may vary based on the products, fulfillment method, location, and applicable law. Applicable charges will generally be presented during checkout.

15. PAYMENT AUTHORIZATION

By providing a payment method, you represent that you are authorized to use it and authorize Cheers and its payment processors to charge the applicable amount for your order, including applicable taxes and fees.

Payment may be processed by third-party providers. An authorization hold may be placed before an order is finalized.

The final charge may differ from an initial authorization due to substitutions, unavailable products, taxes, fees, or other order adjustments.

16. PAYMENT DISPUTES

If you believe a transaction contains an error, please contact Cheers before initiating a payment dispute or chargeback.

You agree not to submit a fraudulent or improper chargeback for an authorized transaction or products/services properly provided. This does not limit rights provided by applicable law or payment-network rules.

17. PRODUCT SUBSTITUTIONS

If a product becomes unavailable, Cheers may contact you regarding a comparable substitution where permitted.

Cheers may instead remove the unavailable item and refund the applicable amount.

Wine and other products may vary by vintage. Unless a specific vintage is expressly guaranteed, product images or descriptions do not guarantee a particular vintage.

18. ERRORS

The Sites may contain pricing, inventory, product, promotional, typographical, or technical errors.

Cheers may correct errors and cancel or modify affected orders where permitted by law. If payment was already made for a canceled order, the applicable amount will be refunded.

19. REFUNDS & RETURNS

Returns, exchanges, refunds, and credits are governed by the Cheers Refund & Return Policy and applicable law.

Certain alcoholic beverages and regulated products may not be returnable.

20. CUSTOMER ACCOUNTS

You may create an account to facilitate purchases and access certain Site features.

You agree to provide accurate information and protect your account credentials.

Cheers may suspend or terminate an account for false information, fraud, violations of these Terms or law, security concerns, or other legitimate business reasons.

21. ELECTRONIC COMMUNICATIONS

By using the Sites, you consent to electronic communications concerning your orders, account, transactions, and use of the Services.

Communications may include emails, text messages, push notifications, order confirmations, pickup notices, delivery updates, and other transactional communications.

22. SMS / TEXT MESSAGING

If you voluntarily provide your mobile number and opt in to SMS/text messaging, you agree to receive transactional messages concerning orders, accounts, pickup, delivery, shipping, substitutions, and other related Services.

If separately opted in, Cheers may also send marketing messages concerning products, promotions, events, and offers.

Message and data rates may apply. Consent to marketing texts is not a condition of purchase.

You may opt out of marketing texts by replying STOP. You may contact kaiz@cheersfl.com for assistance. Reply HELP where supported.

Opting out of marketing messages does not necessarily prevent necessary transactional communications regarding an existing order or account.

23. MOBILE APPLICATIONS

Cheers may provide Services through mobile applications or devices. Your carrier may charge data, messaging, or other fees. Cheers is not responsible for carrier charges.

If enabled, push notifications may provide order, account, promotional, or other Service information.

24. PRIVACY

Your use of the Sites is subject to our Privacy Policy, which is incorporated into these Terms by reference and describes how Cheers collects, uses, discloses, retains, and protects personal information.

25. THIRD-PARTY SERVICES

Cheers may use third-party providers for online ordering, payment processing, delivery, shipping, age verification, fraud prevention, communications, analytics, hosting, marketing, customer support, and other services.

Third-party providers may have separate terms and privacy policies. You authorize Cheers to share information reasonably necessary to provide requested Services and fulfill transactions.

26. THIRD-PARTY LINKS & CONTENT

The Sites may contain third-party links, content, advertisements, applications, or services. Cheers does not control and is not responsible for third-party websites, services, content, products, policies, or practices.

Your use of third-party services may be subject to their own terms and privacy policies.

27. INTELLECTUAL PROPERTY

The Sites and their content, including text, graphics, logos, trademarks, photographs, images, designs, software, interfaces, and other materials, are owned by or licensed to Cheers.

Except as expressly permitted, you may not copy, reproduce, modify, distribute, publish, display, create derivative works from, sell, license, scrape, or commercially exploit Site content.

The Cheers name, logos, trademarks, service marks, and trade dress may not be used without prior written authorization.

28. USER FEEDBACK

If you voluntarily provide suggestions, comments, reviews, ideas, or other feedback regarding Cheers or the Sites, you grant Cheers the right to use that feedback without compensation or further approval to the extent permitted by law.

29. SECURITY

Cheers maintains commercially reasonable administrative, technical, and organizational safeguards designed to protect personal information and the Sites.

No online system is completely secure. Cheers does not guarantee that the Sites will always be secure, uninterrupted, error-free, or free from harmful components.

30. TERMINATION

Cheers may suspend or terminate your account, access to the Sites, or related Services where permitted by law, including for violations of these Terms, fraud, unauthorized activity, security concerns, or interference with our operations.

Termination does not eliminate obligations incurred before termination.

31. FORCE MAJEURE

Cheers is not liable for failure or delay caused by circumstances beyond its reasonable control, including natural disasters, severe weather, fire, flood, pandemic, war, terrorism, civil unrest, government action, legal changes, labor disputes, supply-chain or transportation disruptions, telecommunications or Internet failures, payment-provider or delivery-provider failures, product shortages, or similar events.

32. INDEMNIFICATION

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Northstar Liquors, LLC d/b/a Cheers Wine & Liquor and its members, managers, officers, employees, agents, contractors, affiliates, successors, and assigns from claims, damages, losses, penalties, costs, and reasonable attorneys’ fees arising from or relating to your violation of these Terms, applicable law, misuse of the Sites or products, fraudulent activity, breach of your representations, or acts or omissions in connection with an order.

33. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITES, CONTENT, AND RELATED SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

CHEERS DISCLAIMS WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND SECURITY, EXCEPT WHERE SUCH WARRANTIES CANNOT LAWFULLY BE DISCLAIMED.

CHEERS DOES NOT GUARANTEE THAT THE SITES WILL BE AVAILABLE, ERROR-FREE, SECURE, OR UNINTERRUPTED, THAT PRODUCT INFORMATION WILL ALWAYS BE ACCURATE, THAT PRODUCTS WILL BE AVAILABLE, OR THAT ORDERS, DELIVERY, OR SHIPPING WILL ALWAYS BE completed within a particular timeframe.

34. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHEERS AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, AFFILIATES, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, OR OTHER SPECIAL DAMAGES ARISING FROM OR RELATED TO THE SITES, PRODUCTS, SERVICES, ORDERS, DELIVERY, SHIPPING, OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHEERS’ TOTAL AGGREGATE LIABILITY ARISING FROM A PARTICULAR ORDER OR TRANSACTION SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID BY YOU TO CHEERS FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM.

Nothing herein limits liability that cannot legally be limited or excluded.

35. DISPUTE RESOLUTION

To the extent permitted by law, these Terms and disputes relating to the Sites, products, Services, or your relationship with Cheers are governed by Florida law, without regard to conflict-of-law rules.

Before initiating formal proceedings, you agree to contact Cheers and provide an opportunity to resolve the dispute informally.

To the extent permitted by applicable law, unresolved disputes may be resolved through individual binding arbitration under applicable arbitration rules. Claims may not be brought as class, collective, or representative actions to the maximum extent permitted by law.

Nothing prevents either party from pursuing an eligible individual claim in small claims court where permitted.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND CHEERS WAIVE ANY RIGHT TO A JURY TRIAL FOR CLAIMS SUBJECT TO THIS AGREEMENT.

If any portion of this dispute-resolution provision is unenforceable, the remaining provisions remain effective to the extent permitted by law.

36. GOVERNING LAW & VENUE

These Terms are governed by Florida law.

Any court proceeding permitted under these Terms shall, to the extent permitted by law, be brought in a court of competent jurisdiction in Florida.

37. SEVERABILITY

If any provision of these Terms is unlawful, invalid, or unenforceable, it shall be modified or severed to the minimum extent necessary, and the remaining provisions will remain in effect.

38. NO WAIVER

Cheers’ failure to enforce any provision does not waive its right to enforce that provision or any other provision in the future.

39. ASSIGNMENT

Cheers may assign these Terms in connection with a merger, acquisition, sale of assets, restructuring, or similar transaction.

You may not assign your rights or obligations under these Terms without Cheers’ prior written consent.

40. ENTIRE AGREEMENT

These Terms, together with the Privacy Policy, Refund & Return Policy, Shipping Policy, and other policies expressly incorporated by reference, constitute the agreement between you and Cheers regarding the Sites and related Services.

If a specific policy conflicts with these Terms, the more specific policy may control with respect to the applicable Service.

41. ELECTRONIC ACCEPTANCE

Your electronic acceptance of these Terms, placement of an order, or use of the Sites may constitute your electronic signature and agreement to these Terms to the extent permitted by applicable law.
